Bond Issuance and Public Finance

The Firm serves as bond counsel for a sizeable number of cities, parishes, school boards and other political bodies in their public finance needs. The Firm works closely with governmental officials to provide the best and most cost effective means of public finance. We have also developed substantial expertise in tax exempt financing for private companies. The Firm is listed in The Bond Buyer's Municipal Market Place publication (the "Red Book") and in addition to bond counsel, has been engaged in multiple public financing roles, including the representation of underwriters from coast to coast.

As bond counsel, issuer's counsel, or underwriter's counsel, the Firm will work to develop financing for general obligation bonds, revenue bonds, and industrial development bonds. The Firm also provides legal services in all phases of public finance transactions, including tax elections, bond documentation, and preparation of official statements, notices, disclosure documents, bond insurance and other financing documents.

The Firm's public finance and transactional section regularly serves as Bond Counsel throughout the State of Louisiana and has significant experience in the following:

  • Assisting with structuring all types of financial transactions

  • Preparation of bond resolutions, closing documents and other necessary documentation

  • Handling all aspects of closing and delivery of bonds

  • Handling tax elections, general obligation bond elections and other matters requiring voter referendum

  • Preparation and/or review bond-related legislation

  • Preparation, review and supervision of publications of notices of sale and notices of defeasance and redemption

  • Handling all aspects of the approval process, including State Bond Commission and Attorney General approval

  • Preparing preliminary and final official statements

  • Rendering opinions as to the legality and tax-exempt status of bond issues

  • Assisting in the handling of bond validation proceedings, to the extent necessary, and other litigation relating to public finance

  • Coordination of and consult with financial advisors selected by the State to provide advice and guidance regarding refinancing and restructuring alternatives

  • Providing ongoing advice to issuers regarding ongoing responsibilities relating to outstanding debt, including arbitrage rebate, continuing disclosure requirements under SEC rules, and other post-issuance matters mandated by state and Federal law

  • Structuring and implementation of defeasances of outstanding debt.
